Your access to and use of the Services is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, clients, and others who wish to access or use the Services. By accessing or using the Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you do not have permission to access the Services.
Pacisci Group ("us", "we", or "our") provides services including AI automations, chatbot development, AI toolstack implementation, small business consulting (business strategy, financial management, marketing and branding, operations optimization), financial engineering (personalized financial analysis, retirement planning, tax optimization), and data services (data analysis and interpretation, performance metrics tracking, market research). Our mission is "to forge exceptional value and sustainable growth", and our office is located at 10026-A S Mingo Rd Suite 450, Tulsa, OK 74133.

1. Services Pacisci Group offers a range of professional services as detailed on our website and in individual service agreements or project scope documents. The purpose of our website is to provide an overview of these services and allow potential clients to schedule appointments. Existing clients may have access to an internal component (client portal via Softr ) to view accounts, projects, team members, manage invoices, submit change orders, new project requests, and report/track bug fixes.

2. Client Eligibility and Responsibilities We engage with clients who demonstrate passion, coachability, resilience, readiness for growth, and integrity. Clients agree to:
Provide accurate, complete, and current information as requested.
Cooperate with Pacisci Group in all matters relating to the Services.
Comply with all terms of specific service agreements entered into with Pacisci Group.
Ensure that their use of the Services is in accordance with all applicable laws and regulations.

3. Accounts When you create an account with us (e.g., for the client portal ), you guarantee that you are above the age of 18 and that the information you provide is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service. You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Payment and Billing
Currency: All prices for Services are displayed in United States Dollars (USD). International clients will be billed in USD, and currency conversion will be handled by the client's financial institution.
Payment Methods: We accept Visa, Mastercard, American Express, Discover, ACH Direct Deposit, and Wire Transfer.
Billing: Payment terms will be specified in your individual service agreement or project proposal. For ongoing retainer services, payments are typically due in advance of the service period. For custom development projects, milestone-based payments may apply.
Late Payments: Payments not received by the due date may incur late fees or result in suspension or termination of Services.

5. Fulfillment, Refund, and Cancellation Policies Our fulfillment, refund, and cancellation policies are as follows:
Service Delivery:
Consultation Services: Initial consultations are typically scheduled within 7-10 business days of payment.
Project Implementation: Timelines are provided in project scope documents, typically ranging from 4-12 weeks depending on complexity.
Software Development: Delivery timelines are established in project proposals, with regular milestone updates.
Refund Policy:
Consulting Services: A 100% refund is available if canceled more than 48 hours before the scheduled consultation.
Ongoing Retainer Services: A prorated refund for the unused service period is available with a 30-day written notice of cancellation.
Custom Development Projects: Payments are often milestone-based. Refunds are limited to unbilled and undelivered work.
Cancellation Policy:
Single Services: 48-hour notice is required for cancellation to receive a full refund (where applicable).
Monthly Retainers: A 30-day written notice is required for cancellation.
Long-term Contracts: Early termination provisions will be detailed in individual service agreements.

6. Intellectual Property The Services and all original content (excluding Client-provided data), features, functionality, methodologies (such as the Pacisci Game Plan framework ), and software (e.g., ChatBot Development ) are and will remain the exclusive property of Pacisci Group and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Pacisci Group. Clients retain ownership of their pre-existing intellectual property and any data they provide to us. Any deliverables created specifically for a client as part of a project will be subject to the intellectual property terms outlined in the individual service agreement.

7. Third-Party Links and Services Our Services may utilize, contain links to, or integrate with third-party websites or services that are not owned or controlled by Pacisci Group, such as Softr (client interface), Webflow (website platform), Smartsuite (client and project management), Slack (internal communication), and Stripe (payment processing). Pacisci Group has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities/individuals or their websites. You acknowledge and agree that Pacisci Group shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

8. Disclaimers
Your use of the Services is at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. The Services are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Pacisci Group does not warrant that a) the Services will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Services are free of viruses or other harmful components; or d) the results of using the Services will meet your specific requirements or expectations.

Pacisci Group's ambition is to empower business owners, but we do not guarantee any specific financial outcomes or business success as a result of using our Services. Success depends on various factors including client commitment and market conditions.

9. Limitation of Liability In no event shall Pacisci Group, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii. any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose. Our maximum aggregate liability to you for any claims arising out of or relating to these Terms or the Services shall be limited to the amount paid by you to Pacisci Group for the Services in the six (6) month period immediately preceding the event giving rise to the claim.

10. Indemnification You agree to defend, indemnify, and hold harmless Pacisci Group and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Services, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Services.

11. Termination We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Service, subject to any ongoing contractual obligations (e.g., notice periods for retainer services ). All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law These Terms shall be governed and construed in accordance with the laws of the State of Oklahoma, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

13. Dispute Resolution Any disputes arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit the dispute to mediation in Tulsa, Oklahoma, before resorting to arbitration or litigation. If mediation fails, any unresolved dispute shall be settled by binding arbitration in Tulsa, Oklahoma, in accordance with the rules of the American Arbitration Association. The prevailing party in any arbitration or litigation shall be entitled to recover its reasonable attorneys' fees and costs.

14. Legal and Export Restrictions Pacisci Group services are subject to U.S. laws and regulations. You agree to comply with all applicable U.S. and international export laws and regulations. Certain data services and AI technologies may be subject to export controls, and you agree not to export or re-export, directly or indirectly, any Services or technical data acquired from Pacisci Group in violation of such laws and regulations.

15. Promotions and Special Offers From time to time, Pacisci Group may offer promotions or special offers, such as the "New Client Consultation" (a complimentary 30-minute needs assessment for first-time clients). Specific terms and conditions will apply to each offer, including limitations such as not being combinable with other promotions, subject to consultant availability, and valid for one consultation per business entity. All promotions are subject to change or withdrawal without notice.

16. Changes to Terms We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
